RocketMinds Website Terms of Use

These Terms of Use ("Terms") govern your access to and use of rocketminds.io, including its resource pages, public forms, RocketMinds for Actors pages, and the RocketMinds Venture Partner portal (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a company, fund, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these Terms, do not use the Site.

Separate terms may apply to other RocketMinds or affiliated products, including Tegy. Advisory, consulting, project, employment, contractor, investment, and other paid or professional relationships are governed only by the applicable separate written agreement. If that agreement conflicts with these Terms, the separate agreement controls for that relationship.

1. Eligibility

The Site is intended for business and informational use. You must be legally able to enter into these Terms.

If you are under the age of majority where you live, you may use the Site only through a parent or legal guardian who agrees to these Terms. Venture Partner portal accounts are limited to individuals who have reached the age of majority.

2. No Client, Employment, or Other Relationship

Using the Site, submitting an inquiry, downloading a resource, creating a profile, or communicating with RocketMinds does not create a client, advisory, fiduciary, employment, contractor, partnership, joint venture, agency, or other professional relationship. RocketMinds is engaged to provide services only through a separate written agreement signed by an authorized representative.

Access to the Venture Partner portal or use of the term "Venture Partner" does not authorize you to act for or bind RocketMinds and does not promise any project, engagement, compensation, investment, or other opportunity.

Do not submit confidential, proprietary, or highly sensitive information through public Site forms unless RocketMinds has requested it and appropriate protections are in place. Messages sent through the Site or by ordinary email may not be secure.

3. Accounts and Portal Access

If you create or receive a Site account, you agree to provide accurate and current information, keep your credentials confidential, and promptly notify RocketMinds if you suspect unauthorized access. You are responsible for activity conducted through your account unless prohibited by law.

You may not share an account, impersonate another person, or access an account or restricted area without authorization. RocketMinds may approve, reject, restrict, suspend, or terminate portal access in its discretion, subject to applicable law and any separate written agreement.

Profile, availability, and project-interest information may be used to evaluate, match, and administer potential opportunities as described in the RocketMinds Privacy Policy. A profile or expression of interest does not guarantee selection or engagement.

4. Permitted Use and RocketMinds Materials

Subject to these Terms, RocketMinds grants you a limited, revocable, nonexclusive, nontransferable license to access the Site and use downloadable resources for your personal or internal business purposes. You may share a resource internally with your employees or contractors who are working for you and who comply with these Terms.

The Site, resources, text, designs, graphics, logos, trademarks, software, templates, frameworks, and other materials provided by RocketMinds (collectively, "RocketMinds Materials") are owned by RocketMinds or its licensors and are protected by intellectual-property laws.

Except where a resource expressly permits it or RocketMinds agrees in writing, you may not sell, license, publish, publicly distribute, or commercially exploit RocketMinds Materials; remove ownership notices; use RocketMinds names or marks in a way that suggests endorsement; or use the Site or RocketMinds Materials to build a competing product, service, training dataset, or content library.

No rights are granted except those expressly stated in these Terms.

5. Materials You Submit

Information, files, resumes, photographs, profile content, messages, feedback, and other material you submit through the Site are "User Materials." You retain any ownership rights you have in your User Materials.

You grant RocketMinds a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, use, and disclose User Materials only as reasonably necessary to operate and secure the Site, respond to you, evaluate or administer potential opportunities and relationships, and otherwise act at your direction. Our handling of personal information is also governed by the RocketMinds Privacy Policy.

You represent that you have the rights and permissions needed to submit the User Materials and grant this license, and that the User Materials are accurate, lawful, free of malicious code, and do not violate another person's rights, confidentiality obligations, or applicable law.

If you provide ideas or feedback about RocketMinds, you permit us to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

6. Prohibited Conduct

You may not:

• Use the Site unlawfully, fraudulently, or to harm another person.
• Infringe intellectual-property, privacy, confidentiality, publicity, or other rights.
• Impersonate another person or misrepresent your identity, qualifications, affiliation, or authority.
• Attempt to gain unauthorized access to the Site, accounts, systems, or data.
• Introduce malware, harmful code, or disruptive material, or interfere with the Site's operation or security.
• Scrape, crawl, harvest, or use automated means to extract Site content or personal information, except as permitted by applicable law and not capable of restriction by agreement.
• Bypass access controls, rate limits, or other protective measures.
• Use the Site to send spam, unlawful marketing, or other unsolicited communications.

7. Informational Content; No Professional Advice or Guaranteed Outcome

Site content and RocketMinds Materials are provided for general informational purposes. They are not legal, tax, accounting, investment, financial, employment, or other regulated professional advice and are not an offer to buy or sell securities or a recommendation concerning any investment or transaction. You should obtain advice from qualified professionals for your circumstances.

You are responsible for your decisions and for independently evaluating information obtained through the Site. RocketMinds does not guarantee any project, engagement, fundraising, investment, hiring, operational, commercial, or financial outcome. Examples, testimonials, and case studies do not promise similar results.

8. Third-Party Services and Links

The Site may link to or rely on third-party websites, products, integrations, and services. Third parties maintain their own terms and privacy practices.

RocketMinds does not control and is not responsible for third-party services, content, availability, security, or practices. A link does not necessarily mean that RocketMinds endorses the third party.

9. Privacy

The RocketMinds Privacy Policy explains how we collect, use, and disclose personal information through the Site and is incorporated into these Terms by reference.

10. Site Availability and Suspension

RocketMinds may modify, suspend, or discontinue any part of the Site or any resource or feature at any time. We do not promise that any content, account, file, or feature will remain available indefinitely.

We may suspend or terminate your access if we reasonably believe you violated these Terms, created legal or security risk, or misused the Site. When access ends, the license granted to you under these Terms ends.

Provisions that by their nature should survive will survive, including provisions concerning ownership, User Materials, disclaimers, liability, indemnification, and governing law.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ROCKETMINDS MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ROCKETMINDS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RocketMinds does not warrant that the Site or its content will be accurate, complete, current, secure, uninterrupted, error-free, or free of harmful components. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKETMINDS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SPECIFICALLY TO ACCESS OR USE THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be excluded or limited. Claims arising from a separate client or project agreement are governed by that agreement.

13. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless RocketMinds and its affiliates, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, and reasonable costs, including attorneys' fees, arising from your User Materials, your misuse of the Site, your violation of these Terms, or your violation of another person's rights.

RocketMinds may control the defense of a covered claim, and you agree to cooperate reasonably.

14. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute arising out of or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to their personal jurisdiction and venue, except where applicable law does not permit this restriction.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the Last Updated date. If a change is material, we may provide additional notice through the Site, by email, or through another appropriate method.

Changes apply from the stated effective date. Your continued use of the Site after that date means you accept the updated Terms. If you do not agree, you must stop using the Site.

16. General

These Terms and the RocketMinds Privacy Policy are the entire agreement between you and RocketMinds concerning the Site, except for any applicable separate written agreement.

If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in effect.

A failure to enforce a provision is not a waiver. You may not assign these Terms without RocketMinds' written consent. RocketMinds may assign them in connection with a merger, financing, reorganization, sale of assets, or similar transaction. Section headings are for convenience only and do not affect interpretation.
